The Terms of Credit for SKP & Associates ltd T/a Lensmen Photography & Video assignment are outlined below:
The license to use the photography or videos will not be transferred until goods are paid for in full and payment cleared.
Any licence granted by the provisions of this agreement and any other additional terms agreed between the Client an SKP & Associates Ltd shall be automatically revoked and shall only be capable of reinstatement upon payment of any outstanding sum plus interest and other costs incurred by SKP & Associates Ltd
SKP & Associates Ltd will implement The European Communities (Late Payment in Commercial Transactions) Regulations 2012 policy of charging interest in accordance with the late payment of EU directive, if invoices are not paid in full after one month from the date of invoice. With effect from 1 July 2019, the late payment interest rate is 8.00% per annum (that is based on the ECB rate (as at 1 July 2019) of 0.00% plus the margin of 8%). Terms of credit for Photographic Video Production Assignments | Editing of Images or Video Footage
- Terms of credit are strictly 15 days from the Photographic or Video assignments | Editing of Images or video footage, date of invoice unless otherwise agreed in writing by a Director of the company.

Terms of credit for Video assignments
- The first invoice will cover the videographer’s attendance at the event and uploading of a video clip to our Lensmen private Vimeo account, so the client can select which pieces they would like to put into their final video.
- Then we receive the list of clips from the client, with their logo, title for the event, speakers, chosen typeface, PowerPoint presentation, closing credits, name/address/phone/email, etc. from the client.
- This first invoice must be paid in full before final edit will start.
At this point in time, it is really important that you must choose which option video edit you will require. This information will be on your quote or we can give you a new price for the edit to suit your requirements.
- The second invoice will be raised, when the final cut video is finished. We would then make an appointment for the client to come into our editing studios or reload the video to our Lensmen private Vimeo account. This will be the last chance to change or add content to the finished video.
- If there are changes to be made once the client has signed off on the finished video, there will be extra charges as stated in our tender or quote.
- If the client wants another video created from the same content there will be an additional quote given at the time.
- This second invoice must be paid in full before Lensmen will release the finished video to the client, unless otherwise agreed upon in writing by a director of the company. The company has implemented the policy of charging interest in accordance with the Late Payment EU Directive and Prompt Payments Act.
Note:
Lensmen Video Production, Photographic and Time-lapse Photography Agency retains the right to use all images/video footage shot on behalf of a client for Lensmen’s own promotional purposes on our website, Vimeo, and YouTube channels.
The Lensmen video logo will always appear at the end of all videos produced by Lensmen Video Production.
- Payment is due in accordance with the quotation and, unless otherwise stated, will be as follows: 100% of the total sum, due on completion and within the remittance period.
- All sums due from the client under the contract shall be paid not later than the last day of the month following the month during which the company’s invoice is rendered to the client (such date being hereinafter referred to as “the date due”).
- Where, through no fault of the company, the customer is unable to take possession of the order, the company reserves the right to invoice on the date the order became ready for dispatch, or the previously agreed delivery date, whichever is sooner, the total price will become due.
- If the customer fails to pay all the sums payable hereunder on or before the date due, then the company shall be entitled to charge interested at the rate per annum of 2% above the base rate from time to time of Bank of Ireland on all overdue payments, such interest to accrue on a daily basis with effect from the date due and to be payable after as well as before judgment.
On completion of S.K.P & Associates Ltd t/a Lensmen & Associates obligations under an Order, S.K.P & Associates Ltd t/a Lensmen & Associates shall deliver an invoice for the Price to the Client and the Client shall pay the Price (or any balance of it) within 30 days of the date of the invoice. Any sum outstanding after the expiry of 30 days shall have the following consequences:

The Licence to Use the Materials
The Licence to Use the Materials comes into effect from the date of payment of the relevant Invoice(s). No use may be made of the Video/Photographs before payment in full of the relevant Invoice(s) without the express consent in writing of SKP & Associates Ltd. Any permission which may be given for prior use will automatically be revoked if full payment is not made by the date nominated by SKP & Associates Ltd as being the due date or if the Client is put into receivership or liquidation.
The Licence only applies to the Client and the Material as stated on the Booking schedule or agreed with SKP & Associates Ltd by email and its benefits shall not be assigned to any third party without the prior written consent of SKP & Associates Ltd.
Accordingly, even where any form of “all media” Licence is granted, SKP & Associates Ltd permission must be obtained before any use of the Photographs/video for other purposes e.g. use in relation to another product or sub-licensing through a photo library. Permission to use the Photographs/video for purposes outside the terms of the Licence to Use will normally be granted upon payment of a further fee, which must be agreed as between SKP & Associates Ltd and the Client and paid in full by the Client before such further use.
Unless otherwise agreed in writing, all further Licences in respect of the Photographs/video will be subject to these terms and conditions.
Exclusivity
The Client may be authorised to publish the Photographs/video to the exclusion of all other persons. However, SKP & Associates Ltd retains the right in all cases to use the Photographs/videos and Material in any manner at any time and in any part of the world for the purposes of advertising or otherwise promoting their work.
If the License to Use includes an exclusivity period, SKP & Associates Ltd shall be entitled to use the Photographs/videos for any purpose after the expiry of said exclusivity period without further notice to the Client.
All prices are subject to Value Added Tax.
Vat will be charged at the appropriate rate of 13.5% on photographer’s videographer or cameraman’s attendance, media syndication service & materials or photographic prints.
Vat will be charged at the appropriate rate of 23% on all digital images /scan, 360° Matterport 3D Virtual Tours / Walkthroughs and on all video editing, Time-lapse/Hyper-lapse/ Drone and include insertion of slides/images/graphics.
Cancellation and Postponement
A booking form is considered firm from the date of confirmation and accordingly, S.K.P & Associates Ltd will, at their discretion, charge a fee for cancellation or postponement. In the event of a cancellation of any booking by the Client, in addition to any entitlement to claim damages for losses arising from such cancellation S.K.P & Associates Ltd t/a Lensmen & Associates, in any event, be entitled to retain/charge:
Cancellation one week prior to a confirmed booking at no charge.
Cancellation 24 hours prior to confirmed booking 20% of the estimated quote
Cancellation 12 hours prior to confirmed booking 50% of the estimated quote
